1. Definitions

• "Agreement" means these Terms & Conditions together with any service order or invoice issued by Willspring.
• "Service" means the First Steps Information Guide, Document Coaching Sessions, or Legacy Story Documentation offered by Willspring.
• "User" / "you" means any individual accessing this website or engaging Willspring's services.
• "We" / "us" / "our" means Willspring, operating from 60 Phahonyothin Road, Sam Sen Nai, Phaya Thai, Bangkok 10400, Thailand.
• "Content" means written guides, session notes, checklists, archive materials, and any other materials produced by Willspring.

2. Acceptance of Terms

By using this website or purchasing a service from Willspring, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, please do not use this website or engage our services.

You must be at least 18 years of age and have legal capacity to enter into a binding agreement. By proceeding, you represent that these conditions are met.

3. Service Description

Willspring provides three documentation-focused, educational services for families: written inheritance information guides, document coaching sessions, and legacy story documentation. All services are informational and organisational in nature. We do not provide legal, financial, or personal advice of any kind.

Services are primarily available to clients in Bangkok and Thailand. We may, at our discretion, serve clients in other locations where sessions can reasonably be conducted remotely.

4. User Responsibilities

• Provide accurate contact and service-related information when requested
• Use this website and its content for lawful personal purposes only
• Not reproduce, distribute, or sell Willspring's Content without prior written consent
• Not attempt to misrepresent Willspring materials as legal, financial, or professional advice
• Not use this website or our services in any way that could harm Willspring's reputation or operations

5. Intellectual Property

All Content produced by Willspring — including written guides, checklists, session frameworks, and archival structures — remains the intellectual property of Willspring unless explicitly transferred in writing.

Clients receive a personal, non-exclusive licence to use delivered materials within their own family for the purpose for which they were created. Materials may not be reproduced, sold, or distributed to third parties without prior written consent from Willspring.

6. Payment Terms

• All prices are quoted in Thai Baht (฿) and are inclusive of applicable taxes
• Payment is due in full prior to commencement of service delivery, unless otherwise agreed in writing
• We accept bank transfer and other payment methods as communicated at the time of booking
• Refunds: If Willspring is unable to deliver a service as described, a full refund will be issued. If you cancel before work has commenced, a full refund is available. If work has begun, a partial refund reflecting undelivered portions will be offered at our discretion.

7. Service Delivery Terms

• Delivery timelines are communicated at the start of each engagement and may vary depending on scope and family availability
• Coaching sessions are scheduled by mutual agreement; sessions missed with less than 24 hours' notice may be forfeited
• The scope of each service is agreed in writing before work begins; material changes to scope may require a revised agreement
• Willspring does not retain original client documents under any circumstances

8. Disclaimers

All Content produced by Willspring is for educational and informational purposes only. Nothing in our materials constitutes legal, financial, tax, or personal advice. We strongly recommend that families consult qualified professionals before taking decisions related to inheritance, estate management, or related matters.

Our website and services are provided on an "as available" basis. We do not warrant that this website will be uninterrupted or error-free at all times.

9. Limitation of Liability

To the fullest extent permitted by Thai law, Willspring's total liability to you in connection with any service shall not exceed the amount paid by you for that service.

We are not liable for indirect, consequential, or incidental losses arising from use of our website or services. We are not liable for decisions made by you or your family based on materials we have produced.

10. Indemnification

You agree to indemnify Willspring and its team members against claims, losses, or expenses arising from your misuse of our website, Content, or services, or from your breach of these Terms.

11. Termination

Either party may terminate an engagement by giving written notice. If Willspring terminates for reasons other than client breach, any fees paid for undelivered work will be refunded.

Clauses relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.

12. Dispute Resolution

These Terms are governed by the laws of Thailand. In the event of a dispute, we will first seek resolution through informal discussion. If that is unsuccessful, disputes shall be subject to the jurisdiction of the courts of Bangkok, Thailand.

13. General Provisions

• Entire agreement: These Terms, together with any service order, constitute the full agreement between you and Willspring
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• Assignment: You may not assign your rights under this agreement without prior written consent

14. Changes to Terms

We may update these Terms from time to time. The revised version will be published on this page with an updated date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
